0. Definitions

"GenLabs" refers to GenLabs and all its affiliates and subsidiaries, including Deca and TensorBin.

1. Acceptance of Terms

By accessing or using the GenLabs API (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users of the Service, including those who access the Service through a web browser, API client, or any other means.

2. Description of Service

The Service provides access to a suite of AI-powered tools and models, including but not limited to:

• AI Model Execution: Allows users to execute AI models.
• Tool Integration: Enables the use of custom tools and functions within AI model executions.
• User Management: Provides user registration, login, session management, and profile management.
• API Key Management: Allows users to create and manage API keys for secure access to the Service.
• Payment Processing: Facilitates the purchase of credits for using the Service through Stripe.
• Fine-Tuning: Enables users to fine-tune AI models with custom datasets.
• Logging and Analytics: Provides access to model usage logs and statistics.

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you may be required to create an account. You agree to provide accurate and complete information during the registration process and to keep your account information up-to-date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password and API keys.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and without prior notice.

4. Use of the Service

4.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

4.2 API Usage

If you access the Service through an API, you agree to comply with all applicable API documentation and rate limits. You are responsible for all activity that occurs under your API keys.

4.3 Content Ownership

You retain ownership of the content you provide to the Service. However, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and modify your content as necessary to provide the Service.

5. Credits and Payments

5.1 Credit System

The Service uses a credit system for accessing certain features. You may purchase credits through Stripe.

5.2 Payment Processing

All payments are processed through Stripe. You agree to comply with Stripe's terms of service.

5.3 Credit Usage

Credits are deducted from your account based on your usage of the Service. We reserve the right to modify the credit system and pricing at any time.

5.4 Refunds

All sales are final. We do not offer refunds for unused credits.

6. Fine-Tuning

6.1 Dataset Upload

You may upload custom datasets to fine-tune AI models. You are responsible for ensuring that your datasets comply with all applicable laws and regulations.

6.2 Fine-Tuning Jobs

We reserve the right to limit the number of concurrent fine-tuning jobs you may run or create.

6.3 Data Usage

We may use your fine-tuning data to improve the Service.

7. Intellectual Property

The Service and all its related content, including but not limited to software, code, and documentation, are owned by GenLabs and are protected by copyright and other intellectual property laws. You may not use, reproduce, or distribute any part of the Service without our express written consent.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

IN NO EVENT SHALL GENLABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

10. Indemnification

You agree to indemnify and hold GenLabs harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any applicable laws or regulations.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes to these Terms. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which GenLabs is located, without regard to its conflict of law principles.

13. Dispute Resolution

Any disputes arising out of or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Special Offers

Special offers may be provided to new users. These offers may include a limited period of free access to certain features or a discount on credits. Special offers are subject to change or termination at any time.

15. Data Privacy

We collect and process your personal data in accordance with our Privacy Policy. We collect your data and retain it for as long as we feel necessary. We do not use it for training unless you opt in to it. Data may be used for research purposes that will not enter publicly available models. We might send your prompts to inference providers, and we make efforts to ensure that these providers do not use your data for training.

16. Termination

We may terminate your access to the Service at any time, with or without cause, and without prior notice.

17. Entire Agreement

These Terms constitute the entire agreement between you and GenLabs regarding the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms at any time without your consent.

20. No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
